Cyp India only enables the flow of funds from funders to campaigners and is not the final recipient of funds raised on its platform, unless running a proprietary crowdfunding campaign. Cyp India deducts its transaction fees (including service tax) payment gateway fees are not included in that and transfers the net amount. If the campaigner has not met their funding goal, the transfer amount does not include the contributions chosen for a refund.

The CYP India Terms of Use outline the key legal framework for users engaging with the platform. Here's a concise summary:

1. Nature of Contributions

Contributions made on CYP India are not investments and do not generate financial returns, rewards, or securities (such as interest, dividends, or profit-sharing). However, contributors receive "donation points," which reflect their social work stature and are visible through the platform's statistics.

2. Service Overview

CYP India is a platform where campaigners raise funds for projects. Contributors offer donations to support these campaigns, potentially receiving non-monetary rewards, such as donation points. CYP India is a facilitator and is not part of any agreement between campaigners and contributors.

3. User Responsibility and Acceptance of Terms

By accessing or using the platform, users agree to be bound by these terms, the Privacy Policy, and any additional terms introduced. Users are responsible for reviewing the terms periodically, as they may be modified without notice.

4. Account Registration and Security

Users may need to create a profile and provide accurate information.Facebook login is allowed, but CYP India won't post on Facebook without permission. Users are responsible for all activities on their accounts and must maintain account security.

5. Fund Transactions, Donation Points, and Refunds

CYP India serves as an intermediary, collecting funds during a campaign and transferring them to the campaigner's bank account after 15 days post-campaign. In the event of a failed campaign, refunds are processed after deducting necessary transaction fees.

While donation points earned for contributions remain in the user's profile, CYP India does not guarantee the success or full funding of campaigns.

6. Right to Modify or Terminate Services

CYP India can change, suspend, or discontinue services and features without liability or notice.

It may limit access to specific services at its discretion. This version aligns with the concept of gamifying donations by tracking users' efforts through points and statistics, motivating further contributions and participation. CYP India is a platform for giving and charitable donations. We do not provide any financial return in any form whatsoever, including but not limited to financial securities (debt or equity), interest, dividends, profit shares, or rewards in cash to individuals who contribute on CYP India. Any contribution through CYP India to any cause by an individual should not be construed as an investment in any form whatsoever.

Please read these Terms of Use/Terms and Conditions carefully before using http://www.cypindia.com (the 'website' or the 'Site') or application for iOS and Android, owned by parent company Ashkot Technology Private Limited and its affiliated companies or entities (combined called the 'Company'). This agreement sets forth the legally binding terms and conditions for your use of the website. By using the service/services in any manner, including, but not limited to, visiting or browsing the site or contributing content, information, or other materials or services to the site, you agree to be bound by this agreement.

These terms and conditions apply in addition to any other terms and conditions that the Company or its affiliated organizations may ask you to sign at the time of contributing. The Company may ask you to sign specific terms and conditions at different points of activity on the website or application.

Summary of Service

CYP India is an online platform where certain users ('Campaigners') run campaigns to raise funds for their creative and innovative projects which can be for volunteers too. They raise funds by asking for contributions from other users ('contributors' or 'funders') in return for tangible and intangible rewards. Through the Site, email, websites, and other media, the Company makes accessible various content, including but not limited to, videos, photographs, images, artwork, graphics, audio clips, comments, data, text, software, scripts, projects, other material and information, and associated trademarks and copyrightable works (collectively, 'Content'). Campaigners, contributors, volunteers, and other visitors (collectively, 'Users') may have the ability to contribute, add, create, upload, submit, distribute, facilitate the distribution of, collect, post, or otherwise make accessible ('Submit') Content. "User Submissions" means any Content submitted by Users. By creating a fundraising campaign on CYP India, you as the campaigner are offering the public the opportunity to enter into a contract with you. By funding or contributing to a campaign on CYP India, you as the funder/contributor accept that offer and the contract between the campaigner and the funder/contributor. CYP India is not a party to that agreement between the campaigner and the funder/contributor. All dealings are solely between Users.

Acceptance of Terms

The Service is offered subject to acceptance of all of the terms and conditions contained in these Terms of Use, including the Privacy Policy (available on the website) mentioned in this document and all other operating rules, policies, and procedures that may be published on the Site, which are incorporated by reference and may be updated by the Site without notice to you.

In addition, some services offered through the Site may be subject to additional terms and conditions adopted by the Company. Your use of those services is subject to those additional terms and conditions, which are incorporated into these Terms of Use by reference.

The services of the Site are available only to individuals who need their funds transferred to an Indian bank account. The Company may, at its sole discretion, refuse to offer the Site&pos;s services to any person or entity and change its eligibility criteria at any time. This provision is void where prohibited by law, and the right to access the Site&pos;s services is revoked in those jurisdictions.

Modification of Terms of Use

The Company reserves the right, at its sole discretion, to modify or replace these Terms of Use or change, suspend, or discontinue the Site and its services (including, but not limited to, the availability of any feature, database, or Content) at any time for any reason. The Company may also impose limits on certain features and services or restrict your access to parts or all of the website without notice or liability. It is your responsibility to check the Terms of Use periodically for changes. Your continued use of the website following the posting of any changes to the Terms of Use constitutes acceptance of those changes.

Registration

You may view Content on the Site without registering, but as a condition of using certain aspects of the Site, you may be required to register with the Company and its Site and create a User profile using a "User ID" and password.

The Site also allows you to use your Facebook profile as your login preference; however, the Site does not post or publish anything on your Facebook profile without your permission. Also, please note that Facebook has a standard login procedure, which you must follow as a user; CYP India has no control over Facebook's login procedure.

Additionally, you shall provide accurate, complete, and updated registration information. Failure to do so shall constitute a breach of the Terms of Use, whichmay result in immediate termination of your account. You shall not use a User ID, domain name, or project name that:

Is the name of another person, with the intent to impersonate that person. Is subject to the rights of another person, without appropriate authorization. Is offensive, vulgar, or obscene.

The Company reserves the right, at its sole discretion, to refuse registration of or cancel a User ID, domain name, or project name. You are solely responsible for the activity that occurs on your account and must maintain the confidentiality of your password. You shall never use another User&pos;s account without their express permission. You must notify the Company immediately of any unauthorized use of your account or known security breaches.

Fund Transactions, Donation Points, and Accountability

The Site offers various payment gateways to facilitate the transfer of funds for campaigns. However, it may be noted that the Site or the Company:

Terms and Conditions for Fundraisers (Those Who Want to Raise Funds)

General Conditions

You are solely responsible for utilizing the funds for the Purpose mentioned on our fund-raising page. Cyp India is not responsible in any way whatsoever towards the end utilization of funds.

This fund-raising page on the Platform will be available to the general public for contributions for 25 days from the time You publish the page on the Platform. You may or may not be able to raise the targeted amount in the designated period. Cyp India at its sole discretion may extend the tenor of hosting or may remove this fund- raising page.

Cyp India will not be responsible in any way whatsoever for the amount of contributions received.

Cyp India will collect contributions online and will provide the total amount to us. Therefore, you shall receive the funds in 29 days from the time you list the project. The Platform will provide us the list of contributors, and their respective contribution amounts at the time of transfer of funds.

You understand that the funds are not owned by Cyp India. You completely agree to the disbursement of funds after 29 days for the ease of operations.

Foreign Contributions

In case of contributions outside India, You have the necessary regulatory permissions to receive such funds. Such permissions include but are not limited to the Foreign Contributions Registration Act (FCRA), and others mandated by regulatory authorities.

Cyp India and the payment gateway will deduct their fees and applicable taxes before providing the funds to us.

If applicable, You shall issue Tax Rebate certificates for Indian contributions only to the extent of the monies received by us; i.e., the amount contributed minus the fees charged by Cyp India and the payment gateway. In such a scenario, the Platform has mentioned to all Contributors about the availability of such funds.

You hereby indemnify and agree to keep indemnified and hold safe and harmless Cyp India, its Directors, employees, and agents against all such liabilities or claims and also against any loss or damage that may arise on the Party, its Directors, employees, and agents on account of acts of omission, utilization of funds by us onanything other than the stated purpose, lack of necessary regulatory approvals for receipt of funds in any form or for carrying out the activities required for execution of the Purpose. The indemnities if any shall survive beyond the period of the Agreement.

In no event will Cyp India be liable for any indirect, incidental, or consequential damages (including loss of profit or business), howsoever arising, whether under contract, tort, or otherwise, even if informed of the possibility of the same.

This Agreement shall be governed by and construed under the applicable laws of the Indian Union and in respect of any suit, action, or proceeding arising out of this Agreement to the jurisdiction of the courts of Dehradun and Nainital Uttarakhand, India only.

This Agreement shall be valid for 180 days from the date of signature. Cyp India may terminate the agreement at any point of time should it have material evidence of wrong utilization of funds or absence of requisite regulatory approvals to raise funds or carry out the Purpose.

Fund Transfer and Management

Foreign Funds

Note for NGOs: You have to be registered/approved with FCRA to be able to receive foreign donations. Else foreign contributions will be restricted on your campaign.

Taxation

Campaigners must bear any tax liabilities on the funds raised through Cyp India. These taxes may include but are not limited to, income tax, VAT, and service tax applicable on the funds raised or on the procurement of rewards. Cyp India is not liable to provide any tax or legal advice to campaigners in addition to the information already provided in our FAQs section.

Project Completion

While campaigners have full project ownership and the right to complete it, they are accountable and obliged to finish the project by the deadline they have set.Campaigners must also keep the funders updated about the work in progress in case of delays to avoid funder dissatisfaction. Cyp India does not make any claims or guarantees on behalf of the campaigner regarding the completion of the project and usage of the funds raised solely for the project. Similarly, Cyp India does not take any responsibility for making sure that the project for which the funds are raised through its Site is completed and made available to the contributors. The contributors are free to get in touch with the campaign owner directly and solve any dispute that arises regarding the campaign or the project.

Cyp India Branding & Marketing

Campaigners must include Cyp India's logo branding on all project and/or campaign-related marketing collaterals, whether online or offline (e.g., online banners, offline flyers) as per Cyp India's brand and logo guidelines. Cyp India should be credited as the project's "Online Crowdfunding Partner" at campaign or project- related offline events. Also, successful campaigners are obliged to attend and/or lead Cyp India's branding & marketing activities such as events, ad videos, interviews, etc.

Campaign Cancellation

Cyp India reserves the right to reject, cancel, interrupt, remove, or suspend a campaign at any time and for any reason. Cyp India is not liable for any damages as a result of any of those actions. Cyp India&pos;s policy is not to comment on the reasons for any of those actions.

Cyp India&pos;s Rights

Cyp India reserves the right to make changes in its technology platform or crowdfunding services at any time as it sees fit with due notification to campaigners and other users. Cyp India will not tailor its offering to various campaigners. Users are requested to keep themselves updated with all changes on Cyp India&pos;s platform and policies by regularly checking its FAQs or with the Company directly.

Cyp India will not have any ownership rights over your User Submissions and Content. However, Cyp India will get the license to perform and market the Site on your behalf and on behalf of its other Users and itself. You grant to Cyp India the worldwide, non-exclusive, perpetual, irrevocable, royalty-free, sublicensable, transferable right to (and to allow others acting on its behalf to) (i) use, edit, modify, prepare derivative works of, reproduce, host, display, stream, transmit, playback, transcode, copy, feature, market, sell, distribute, and otherwise fully exploit your UserSubmissions and your trademarks, service marks, slogans, logos, and similar proprietary rights (collectively, the “Trademarks”) in connection with (a) the Site, (b) Cyp India&pos;s (and its successors&pos; and assigns&pos;) businesses, (c) promoting, marketing, and redistributing part or all of the Site (and derivative works thereof) or the service in any media formats and through any media channels (including, without limitation, third-party websites); (ii) take whatever other action is required to perform and market the Service; (iii) allow its Users to stream, transmit, playback, download, display, feature, distribute, collect, and otherwise use the User Submissions and Trademarks in connection with the Service; and (iv) use and publish, and permit others to use and publish, the User Submissions, Trademarks, names, likenesses, and personal and biographical materials of you and the members of your group, in connection with the provision or marketing of the Service. The foregoing license grant to Cyp India does not affect your other ownership or license rights in your User Submissions, including the right to grant additional licenses to your User Submissions.

Third-Party Sites

The Site may permit campaign owners and users to link to other websites or resources on the Internet, and other websites or resources may contain links to the Site. When you access third-party websites, you do so at your own risk. Those other websites are not under Cyp India&pos;s control, and you acknowledge that Cyp India is not liable for the content, functions, accuracy, legality, appropriateness, or any other aspect of those other websites or resources. The inclusion on another website of any link to the Site does not imply endorsement by or affiliation with Cyp India.

Terms and Conditions for Funders or Contributors (Those Who Want to Give Funds)

General Terms

The purpose of the campaign has been clearly described on the fund-raising page, and I have fully understood the project and how the funds will be used. My contributions will go to the recipient, who is responsible for utilizing them appropriately. Cyp India is only facilitating the collection of contributions and is not responsible for the end utilization of these funds.

Cyp India and the payment gateway will deduct their fees and applicable taxes before transferring the funds to the recipient. Cyp India will deduct fees for hosting, web platform maintenance, marketing, and promotion.

Any receipt or tax deduction certificate (for Indian contributors only) will be issued by the recipient, based on the net funds received after the deductions made by Cyp India and the payment gateway. The availability of such receipts has been clearly stated on the fundraising page, and I understand that Cyp India is not responsible for tax certificates or benefits.

Cyp India will collect contributions from multiple sources before providing the total amount to the recipient; therefore, it may take up to 45 days for my contribution to reach the recipient from the time I make it.

This agreement is governed by the laws of India, with any disputes under the jurisdiction of the courts in Dehradun or Nainital Uttarakhand, India only.

This agreement remains valid for 180 days from the date of contribution. Cyp India may terminate the agreement with a written notice of 30 days.

Registration

Contributors must register on the site to fund a project, following the site&pos;s login procedures. When choosing the Facebook login, contributors agree to provide Cyp India with access to their profile picture and email ID from Facebook. The site will not post on a user&pos;s Facebook profile without explicit permission.

Payment Details

A contribution is a voluntary donation made by a contributor to support a project on the platform. The contributor does not receive any monetary returns such as equity or profit share, nor is the contribution considered a loan to the project or its campaigner.

Fees and Taxes

Contributors consent and authorize Cyp India to deduct necessary fees from the contributed amount before transferring it to the final recipient, i.e., the campaigner.

Other Contributor Information

Contributors authorize Cyp India to provide the campaigner with their name and contact details solely for delivering rewards and project updates. Contributors may also authorize Cyp India to display their name and profile image in the "Contributor" section of the campaign they supported, though they may opt to remain anonymous if desired. Contributor amounts are not made public by the site. By providing their contact information, contributors agree to receive updates on future campaigns through periodic newsletters, which they can opt out of at any time.

Refund & Cancellation

Contributions made on the platform support projects with social impact. These contributions are donations, not payments for goods or services; thus, they are generally non-refundable once cleared by the payment gateway.

In cases where a project is canceled before funds reach the campaign owner, contributions will be refunded to designated bank accounts. Contributors will need to provide accurate bank details for this electronic transfer, which will occur within 15 working days of receiving complete information. Refunds will be subject to applicable payment gateway fees and taxes.

Project Ownership

Contributors agree to no ownership claims over the project they fund. All project rights remain with the campaigner.

Disputes Between Campaigners and Contributors

Cyp India is not obliged to mediate disputes between users or third parties arising from the use of the platform. This includes but is not limited to, the delivery of goods and services. By using the platform, users release Cyp India, its officers, employees, and agents from claims or damages arising out of these disputes.

Rules and Conduct

Contributors and users must not use the site for purposes that violate these terms or any applicable laws. The platform is for personal, non-commercial use unless explicitly authorized.

Users agree to the following guidelines:

  • Users may not engage in activities that infringe on the rights of others, including rights related to intellectual property, privacy, or publicity, or those that violate any law or contract.
  • Content submitted should not be false, misleading, or abusive.
  • Spam, viruses, and unauthorized advertisements are prohibited.
  • Users may not impersonate any person or entity.
  • Users agree to avoid activities on Cyp India that involve or relate to illegal transactions, including those involving the sale of certain regulated items, gambling, pyramid schemes, or other fraudulent activities. They should also avoid excessive loading on Cyp India&pos;s infrastructure or interference with site functions. Access to restricted areas, crawling, or reverse engineering is strictly prohibited.

Cyp India reserves the right to modify or remove any content, campaign, or user account at its discretion and may decline to explain the reasons for any action taken.

Termination

Cyp India may terminate your access to the platform without cause or notice, which may result in the forfeiture and destruction of all information associated with your account. If you wish to terminate your account, you may do so by following the instructions on the site. Any fees paid to Cyp India are non-refundable. Provisions of these Terms of Use intended to survive termination shall do so, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Termination Warranty Disclaimer

CYP India has no special relationship with or fiduciary responsibility to you. You agree that CYP India is under no obligation to control any of the following: who accesses the Site, what Content is available through the Site, any effects the Content may have on Users, how Users interpret or use the Content, or what actions Users take after interacting with the Content. CYP India does not guarantee the truthfulness of any data or information shared by Users concerning themselves, their campaigns, or projects. By using the Site, you release CYP India from any responsibility for acquiring or not acquiring Content through the Site. The Site may contain or direct you to information some individuals find objectionable or inappropriate. CYP India is not liable for the accuracy, legality, or decency of material on the Service and makes no representation regarding any Content on the Site.

CYP India does not guarantee the availability of any Content on the Site. The Company is under no obligation to monitor Content or the Service. CYP India reserves the right to, at any time and without notice or obligation to explain,

  • (i) cancel, reject, interrupt, remove, or suspend any campaign or project;
  • (ii) edit, modify, or remove any Content, including any User Submission; and
  • (iii) remove or block any User or User Submission.

The Service is provided "as is" and "as available" without warranty of any kind, either express or implied, including but not limited to warranties of title, non-infringement, merchantability, and fitness for a specific purpose. CYP India and its directors, employees, agents, suppliers, partners, and content providers do not guarantee that:

Termination

  • (a) The service will be secure or available at any time or location;
  • (b) defects or errors will be corrected;
  • (c) Any content or software available through the Service will be free of viruses or harmful components, or
  • (d) the results from using the Service will meet your needs. Your use of the Service is solely at your risk. Some states or countries may not permit limitations on how long an implied warranty lasts, so the above limitations may not apply to you.

CYP India makes no guarantee of confidentiality or privacy for communications or information transmitted on the Site or any linked website. CYP India is not liable for the privacy of email addresses, registration details, disk space, communications, confidential or trade-secret information, or any other Content stored on CYP India's equipment, transmitted over networks accessed by the Site, or otherwise connected with your use of the Service.

Content and License

You agree that the Site contains Content provided by CYP India, its partners, and its Users and that Content may be protected by copyright, trademark, patent, trade secret, or other proprietary rights. You must comply with all copyright and legal notices in any Content accessed through the Service. CYP India grants Users of the Site a global, non-exclusive, non-sublicensable, and non-transferable license to use and reproduce the Content solely for personal, non-commercial use. Any other use, including modification, distribution, or storage of Content, is prohibited without prior written consent from CYP India or the Content owner. Selling, licensing, renting, or otherwise exploiting any Content for commercial use or in violation of third-party rights is prohibited.

Intellectual Property

By submitting Content ("User Submissions") to the Site, you agree to the following:

CYP India does not acquire ownership rights over your User Submissions. However, you grant CYP India a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, sublicensable, and transferable right to (i) use, edit, modify, create derivative works from, reproduce, host, display, stream, transmit, playback, copy, feature, market, and distribute your User Submissions and Trademarks (such as slogans, logos, etc.) in connection with (a) the Service, (b) CYP India's business, (c) promoting the Site, and (d) redistributing part or all of the Site (and derivative works) in any media. This license allows CYP India to perform and market the Service and permits its Users to stream, transmit, download, display, and distribute your User Submissions and Trademarks in connection with the Service.

You also agree that your User Submissions are published publicly, that you may be identified by your name or User ID in connection with your User Submissions, and that you grant each User a non-exclusive license to access your Submissions for personal, non-commercial use.

You further agree not to submit any Content containing third-party proprietary rights unless you have permission from the owner. You assume responsibility for all royalties due to any person or entity related to your User Submissions on the Site, and CYP India&pos;s hosting of those Submissions. CYP India has the right to delete, edit, reformat, translate, or otherwise modify any of your User Submissions and reserves the right to remove infringing Content, suspend campaigns, or terminate User accounts upon receiving intellectual property complaints.

Indemnification

You agree to defend, indemnify, and hold CYP India, its affiliates, employees, contractors, directors, suppliers, and representatives harmless from all claims, liabilities, and expenses, including reasonable attorneys' fees, arising from your use or misuse of the Service, your User Submissions, or violations of the Terms of Use. CYP India reserves the right to assume the defense and control of any matter subject to indemnification by you, and you agree to assist in asserting any defenses.

Limitation of Liability

CYP India, including its directors, employees, agents, partners, suppliers, and content providers, is not liable for (i) lost profits, data loss, costs of substitute goods or services, or any indirect, incidental, or consequential damages, or (ii) any bugs, viruses, trojan horses, or the like, regardless of their origin.

Electronic Delivery and Governing Law

By using the Site, you consent to receive all communications electronically. CYP India may post electronic Contract Notices on the Site. To withdraw your consent for electronic Contract Notices, you must discontinue your use of the Site. The Terms of Use shall be governed by the laws of India, and any disputes will fall under the exclusive jurisdiction of the courts in Bangalore.

Integration and Severability

These Terms of Use and referenced materials represent the full agreement between you and CYP India regarding the Service, superseding prior communications. If any part of these Terms is found unenforceable, the remaining provisions remain in effect. Failure by either party to exercise any right does not constitute a waiver of any rights.

Miscellaneous

CYP India is not liable for performance failures due to causes beyond its control, including technical or communication issues. The Terms of Use are personal to you, and not assignable without CYP India&pos;s prior consent. CYP India may assign its rights without consent. No agency or partnership is created by these Terms.
